By accessing and using this CompliTru Cloud Cost Optimization Platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms and Conditions, please do not use this Service.

2. Description of Service

CompliTru provides cloud cost optimization recommendations, analysis, and automation tools for AWS cloud infrastructure. The Service includes cost analysis, resource optimization suggestions, and automated remediation capabilities.

3. No Warranty and Limitation of Liability

THIS SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL COMPLITRU, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES whatsoever resulting from:

Use or inability to use the Service
Cost recommendations or optimizations implemented through the Service
Any changes made to your AWS infrastructure based on Service recommendations
Unauthorized access to or alteration of your data
Any other matter relating to the Service

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY ACTIONS TAKEN BASED ON RECOMMENDATIONS PROVIDED BY THIS SERVICE.

4. User Responsibilities

You agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Review all recommendations before implementing changes
Test changes in non-production environments when possible
Maintain appropriate backups of your infrastructure
Comply with all applicable laws and regulations

5. AWS Account Access

By connecting your AWS account to this Service, you grant us limited access to retrieve cost and usage data. You acknowledge that:

You are authorized to grant such access
You are responsible for managing IAM permissions appropriately
You can revoke access at any time by removing IAM credentials
We are not responsible for any unauthorized access resulting from compromised credentials

6. Automated Remediation

USE OF AUTOMATED REMEDIATION FEATURES IS ENTIRELY AT YOUR OWN RISK. You acknowledge that:

Automated actions may delete or modify AWS resources
Such actions may impact running applications or services
You should thoroughly review and test before enabling automation
We are not liable for any service disruptions, data loss, or costs resulting from automated actions

7. Data and Privacy

We collect and process AWS cost and usage data to provide the Service. By using the Service, you consent to this data collection and processing. We do not sell your data to third parties.

8. Cost Estimates and Recommendations

ALL COST ESTIMATES AND SAVINGS PROJECTIONS ARE ESTIMATES ONLY. Actual costs may vary. We make no guarantees regarding:

Accuracy of cost forecasts or savings estimates
Performance impact of optimization recommendations
Completeness of cost analysis

9. Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We reserve the right to:

Modify, suspend, or discontinue the Service at any time
Impose usage limits or restrictions
Refuse service to anyone for any reason

10. Indemnification

You agree to indemnify, defend, and hold harmless CompliTru and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Actions taken based on Service recommendations

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. Material changes will be communicated through the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CompliTru operates, without regard to its conflict of law provisions.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
